06 — SECURITY & RISK

How the notes are structured, and what to weigh.

Sophisticated investors expect the full picture. The key protections and principal risks are set out below; the Information Memorandum covers them in full.

Structure
  • 01

Debenture securityA debenture over the issuer's current and future assets, enforceable on default.

  • 02

Security trusteeSecurity is held by a trustee on behalf of all noteholders.

  • 03

Ring-fenced deliveryDevelopments are undertaken through dedicated project companies (SPVs).

  • 04

Fixed contractual ratesCoupons are set at issue and do not vary with market rates.

  • 05

Early repayment with interestIf the issuer repays early, interest accrued to that date is paid.

Principal risks
Capital at risk

Returns depend on the issuer's performance. Security does not guarantee repayment, and you could lose some or all of your capital.

Illiquid, fixed-term investment

Notes cannot be transferred or redeemed early by investors. The issuer may extend maturity by up to 12 months, and notes roll over automatically if the noteholder cannot be contacted within 21 days of maturity.

Unregulated, no FSCS cover

Neither the issuer nor the notes are regulated by the FCA, and the Financial Ombudsman Service and FSCS do not apply.

Ranking behind senior lenders

The issuer may raise senior debt that takes first-ranking security over assets, with priority over noteholders on default.

Use of proceeds and costs

Proceeds may be applied at the issuer's discretion, including unsecured loans to third parties and offshore entities. Up to 25% of funds raised may be used for commissions and marketing, and up to a further 25% for working capital.

Early-stage issuer

The company was incorporated in April 2025 and has not yet filed financial statements. Pipeline figures are forecasts and may not be achieved.
